La Banque de l’habitat du Bénin (BHB) a fait l’objet d’une fusion/absorption par la Bank Of Africa (BOA) Bénin, filiale du groupe bancaire du même nom. L’opération a été confirmée par un communiqué du groupe.
L’opération a été approuvée par les actionnaires des deux sociétés lors de l’assemblée générale de la BOA Bénin du 7 septembre 2017.
Cette transaction va donc « occasionner une augmentation de capital de 135 164 000 FCFA, soit 135 164 actions au prix unitaire de 1 000 FCFA. » indique Patrick Saizonou directeur général adjoint en charge du pôle support de BOA Benin. Le capital social de BOA Bénin passera ainsi de 20.145.360.000 FCFA à 20,280 milliards FCFA.
Selon le communiqué de l’institution « l’opération vise une simplification des structures de BOA Group ». « Mais également le respect des obligations réglementaires qui imposent aux banques de l’espace UMOA d’avoir un capital social minimum de 10 milliards FCFA » poursuit le document.
La banque BHB se trouvera dissoute de plein droit à l’issue de l’AG extraordinaire des actionnaires de BOA Bénin qui constatera la réalisation de la fusion .
